Representative Work
  • International: negotiated with the French State, Regional and Municipal governments for certain tax, employment and real estate lease benefits to create manufacturing facility in Toulouse, France; negotiated leasing joint venture between two Japanese companies; created lease financing facilities in 11 European countries as well as New Zealand, Australia, Singapore and Canada; handled stock and asset acquisitions of companies in Sweden, Denmark, Norway, Finland, The Netherlands, Scotland, Malaysia, Singapore; selected and managed local counsels in 20+ countries around the world; established subsidiaries in 15 countries in the US, Europe, Asia and South America, prepared legal documentation to establish a Foreign Trade Zone and managed the legal aspects of the company’s export control program
  • Manufacturing/Procurement and Outsourcing Activities: established domestic and offshore manufacturing facilities and contract manufacturing relationships; divested manufacturing operations in two countries; handled many multimillion dollar (and three $1 billion/yr.) transactions involving the outsourcing of manufacturing, design, ODM (original design & manufacturing), logistics/reverse logistics (from both the outsourcing company's and the customer's perspective); handled outsourcing transactions for order and supply chain activities, product and professional service and support programs, IT infrastructure, service and sales call centers, childcare facilities, marketing and incentive/bonus programs, human resources and employee stock programs

  • Sales Channel Implementation: managed major client’s contracts distribution group, including creating model distribution channel agreements (reseller, agent, distributor, OEM, cooperative marketing, teaming, integration); created template agreements for, and negotiated both template and custom contracts, including multifaceted distribution and technology development and licensing alliances, U.S. and international (based upon local laws) and multinational end user software licenses; professional services, hardware and maintenance purchase and lease agreements
  • E-Commerce: established sales, license and order management agreements for clients' e-commerce/online infrastructures
  • Buying and Selling Services: represented large and small businesses in negotiating and documenting long-term service contracts; created and negotiated template and custom product service and support and professional services agreements for both end users and distribution channel partners
  • Financing: prepared multinational lease financing and specialized inventory financing arrangements; complex revolving credit facilities, domestic and international lease financing facilities, promissory notes, security agreements, financing statements, inventory and other credit facilities
  • Forming Business Entities: advised on choice of entity and created corporations, limited liability companies, partnerships, and joint ventures
  • Employment Matters: represented clients with domestic and foreign confidentiality, technical assistance and proprietary information agreements, employment and severance agreements, executive compensation issues, including stock option agreements
  • General Corporate Matters: managed domestic and international subsidiary corporate governance (charter documents, annual and regular meetings of directors/shareholders), drafted registration rights agreement, stock option/stock purchase program agreements and negotiated asset stock acquisitions and dispositions and worked with Swedish counsel in acquiring a Swedish public company as a subsidiary of US public company
  • Real Estate: negotiated leases for domestic and international field offices and subsidiaries; acquisition and disposition of real property, including sale/leaseback transactions; drafted water rights, egress and access agreements and municipal road development agreements
  • Litigation and Litigation Management: managed a large commercial litigation, resulting in $68 million verdict in favor of a client
  • Bankruptcy/Work-Outs/Restructurings/Divestitures: negotiated work-outs, restructuring and divestitures of domestic and international major agreements and other assets and credit facilities for Chapter 11 clients
  • Government/University: Drafted and negotiated a joint venture development agreement for a Federal government agency (NIST) grant in technology research and development, including negotiated university cooperation agreements. Negotiated university cooperation agreements with domestic and foreign universities
  • Company Policy/Compliance: drafted company policy statements and implementing compliance programs in the areas of confidential information, Foreign Corrupt Practices Act compliance, business conduct, export control, protection of intellectual property and open source software usage; managed companies' export control, EEOC, PAC and Y2K programs; legal liaison for company on-site childcare facilities
